AC Milan have outlined plans to merge three separate companies which are connected to the club into one, according to a report.
According to what was reported exclusively by Calcio e Finanza, Milan have decided to simplify their corporate structure with official documents showing the plans to incorporate Milan Entertainment SRL and Casa Milan SRL into the company AC Milan SpA.
The club outline how the conditions exist to proceed with the ‘simplified’ merger since AC Milan (Surviving Company) directly and/or indirectly holds the entire share capital of Milan Entertainment and Casa Milan.
Milan Entertainment is the company that boasts the rights to exploit the Milan brand, with exclusions such as that relating to the sponsorship of the shirt and that relating to the technical sponsor.
Casa Milan Srl was instead set up in 2020 for the purchase of the club headquarters – subsequently resold with a lot of capital gain – and has among its corporate purposes ‘the sale, the exchange, the lease, the administration, the construction, renovation, maintenance, management and operation of real estate’.
The motivation for the merger carried out by AC Milan, as well as the reason by which the Boards of Directors of the participating companies drafted the merger project, is to ‘rationalise and simplify the corporate structure of the Milan Group in order to achieve a more efficient management’.
